1. Terms and Definitions

Media Asset: A social media account, channel, group, or page (YouTube, Instagram, Telegram, etc.). Fractional Ownership: The right to receive a share of the income generated by a Media Asset proportional to the purchased share. Transaction: The process of transferring rights to an asset or its share between Users.

2. Subject of the Agreement

The Platform provides the User with access to marketplace features for listing, buying/selling digital assets, and investing in fractional shares. Bimark acts solely as a technical intermediary (escrow/guarantor) and does not own the assets unless explicitly stated in the listing.

3. Registration and Verification

By registering, the User confirms they are at least 18 years old. The User must provide accurate information. The Platform reserves the right to request Identity Verification (KYC) for financial operations. The User is solely responsible for maintaining the confidentiality of their account credentials.

4. Platform Rules

Seller's Obligations: To provide truthful asset statistics. Selling assets obtained illegally or violating social media terms of service is strictly prohibited. Buyer's Obligations: To conduct due diligence before finalizing a transaction. Circumvention: Any attempt to complete a transaction outside the Platform after meeting a counterparty on Bimark will result in a permanent ban.

5. Financial Terms and Escrow

The Platform charges a commission on each transaction according to current rates. Upon purchase, the Buyer’s funds are held in escrow by the Platform until the transfer of access rights is confirmed. Refunds are only possible if the Seller fails to fulfill their obligations before the transaction is closed.

6. Investment Risks

The User acknowledges that investing in digital assets involves a risk of capital loss. The Platform does not guarantee asset profitability. Past performance is not indicative of future results. Changes in social media algorithms or asset bans by third-party platforms are considered Force Majeure, for which the Platform bears no liability.

7. Limitation of Liability

The Platform is not liable for any direct or indirect damages resulting from the use or inability to use the service. The Platform's maximum liability is limited to the amount of commission received from the specific transaction in dispute.

8. Governing Law

All disputes shall be resolved through negotiations via the Platform's support system. If a resolution is not reached, disputes shall be subject to the laws of Georgia.
